The agreement between you and Center Platform LLC for using Center.

01These Terms

These Terms of Service (the “Terms”) are an agreement between you and Center Platform LLC (“Center”, “we”, “us”) about your use of Center’s websites, apps, messaging channels and services (together, the “Services”). By creating an account or using the Services, you agree to these Terms. If you use Center for a business, you agree on behalf of that business and confirm you have authority to do so.

Some Services have their own terms, which add to these Terms and apply only once you accept them or turn the Service on (see Optional services and addenda). Our Privacy Policy explains how we handle personal information. If documents conflict, an Order Form you accepted comes first, then the applicable addendum, then these Terms.

02Who can use Center

You must be at least 18 years old and able to enter a binding contract. Give us accurate information, keep it current, and don’t impersonate anyone or create an account for someone else without their permission.

You’re responsible for activity on your account. Keep your phone, email and sign-in codes secure, and tell us right away at help@center.com if you think someone else has used your account. A business is responsible for the people it invites to its account and the permissions it gives them.

03How Center works

Center helps people plan, book and pay for everyday services, and helps businesses manage their customers, calendar, messages, website, payments and marketing. Many features use artificial intelligence. AI can be incomplete or wrong, so check the details that matter before you rely on them. A draft, suggestion or estimate is not a confirmed booking, price or promise.

Center acts for you only within the permissions you give it. Agreeing to these Terms is not a blanket approval to spend money, share private information, sign agreements or message your contacts; Center asks before it does those things, as the terms of each Service describe.

We keep improving Center, so features may change, be added or be removed. Features offered as a beta or by invitation may be limited, and we may end them.

04Booking and buying from businesses

Businesses on Center are independent. Each business sets its own services, prices, availability, deposits and cancellation and refund policies, and is responsible for the work it does. Review a business’s terms before you book. Unless we say otherwise, your contract for a service is with the business, not with Center.

If a fee applies to you as a customer, we show it before you pay. You are never charged a fee you were not shown.

05Using Center for a business

If you use Center for a business, you’re responsible for:

  • the accuracy of your business information, services, prices, hours and policies, including what Center drafts for you from your website and public profiles, which you review before it’s published;
  • holding the licenses, permits and insurance your work requires;
  • having the rights to the content, photos and marks you give us, and the consent of recognizable people who appear in them;
  • having a lawful basis, and any consent the law requires, before you or Center contact your customers for you by call, text or email, and honoring opt-outs;
  • giving the notices the law requires when calls are recorded or answered by an AI assistant, using the tools Center provides; and
  • using your customers’ information only to serve them and as the law allows.

When Center stores or processes your customers’ information for you, it does so to provide the Services to you, as the Privacy Policy describes.

06Optional services and addenda

Some Services come with their own terms, which apply only once you accept them or turn the Service on:

  • Payments Addendum: taking payments and receiving payouts through Center.
  • Advertising Services Addendum: ads, campaigns and customer outreach Center creates and runs for a business.
  • Assistant Terms: Center’s personal assistant acting for you.
  • Messaging Terms: text messages from Center, and from businesses through Center.

Other optional services, such as referral programs, domain registration or services our partners provide, have terms that are shown when you choose them. A partner’s service may also be subject to the partner’s own terms.

07Fees and the Fee Schedule

Many Services are free. Paid Services are priced in Center’s Fee Schedule or in an Order Form you accept (an order form, quote or checkout screen that states the fees for a specific Service). The Fee Schedule and each Order Form you accept are incorporated into these Terms by reference.

Each version of the Fee Schedule is dated and kept on file. We show you the fees that apply at checkout, on the Order Form or payment screen, before you accept a paid Service or a payment is made. When you accept, we record the fees and the version you accepted, and each payment record and receipt keeps the exact fees applied to it and the Fee Schedule version. You can ask us at any time for a copy of any version that applied to you.

Unless the Fee Schedule or Order Form says otherwise, fees are in US dollars and do not include taxes. Fees for a Service are charged when it is provided or, for payments your business receives through Center, deducted before your payout.

08Changes to fees

We change fees only for the future. For a business, we give notice at least 30 days before a new or higher fee applies to it, by email or in Center. A change never applies to a payment made, or a billing period that started, before it takes effect. If you don’t agree to a change, you can stop using or cancel the affected Service before the change takes effect.

A customer sees any fee that applies to them before paying, and a change applies only to payments made after it is shown.

09Subscriptions: renewal and cancellation

If a Service is offered as a subscription, such as an optional plan or add-on for a business, then before you subscribe we show you the price, how often you’ll be charged, that the subscription renews automatically until you cancel, and how to cancel, and we ask for your agreement. After you subscribe, we send you a confirmation with the same information.

Automatic renewal. A subscription renews automatically at the end of each billing period, at the price then in effect for your plan, and we charge your payment method on file each period until you cancel.

Cancelling. You can cancel at any time online in Center, where you manage your plan, or by emailing help@center.com. Cancellation takes effect at the end of the current paid period, and you won’t be charged again. We don’t refund partial periods unless the law requires it.

Price changes and trials. We notify you before a price change applies to your subscription, as described in Changes to fees, and you can cancel before it takes effect. If we offer a free or discounted trial, we tell you its terms before it starts and remind you before it becomes a paid subscription where the law requires.

10Payments, refunds and taxes

When you pay through Center, you authorize the charge to the payment method you choose. Payments are processed by our payment processor, Stripe, under its terms. A business that takes payments through Center does so under the Payments Addendum.

Refunds for a service follow the business’s own policy. Center’s own fees are not refundable except as the Fee Schedule states or the law requires.

You are responsible for the taxes on your purchases and, for a business, on your sales and income.

11Text messages

Center sends text messages only to people who agree to receive them. Program name: Center texts. It covers texts from Center about your account, sign-in, invite, requests and service, and the check-ins, suggestions and offers described where you agreed. Texts about a booking or request you make with a business on Center, including that business’s replies sent through Center, are part of Center booking texts, which carry no marketing.

Message frequency varies. Message and data rates may apply. Consent is optional and is not a condition of purchase. Reply STOP to opt out or HELP for help. Help: help@center.com. Carriers are not liable for delayed or undelivered messages. Mobile numbers and opt-in data are not shared with third parties or affiliates for marketing. The Messaging Terms apply to every text program.

12Your content

You keep ownership of the content you give Center, such as your photos, descriptions, messages and business information. You give Center a worldwide, non-exclusive, royalty-free license to host, copy, adapt, translate, display and share that content only as needed to provide and improve the Services for you, including publishing the pages, posts and ads you approve. The license ends when you delete the content or close your account, except for copies the law requires us to keep and content others already received from you.

Center may create content for you with AI, such as website text, posts and ads. You may use what Center creates for you, subject to the rights of others in the material it was made from. Similar content may be created for others.

If you send us feedback, we may use it without any obligation to you.

13Center’s services and brand

Center, its software, designs and brand belong to Center Platform LLC and its licensors. We give you a limited, revocable, non-transferable right to use the Services under these Terms. A phone number, email address, handle or web address Center provides for your account is for use with the Services, and we may reclaim it if the account closes or it is misused.

14Acceptable use

Don’t use Center to:

  • break the law or help anyone else break it;
  • send spam, or messages without the consent the law requires;
  • mislead, impersonate, harass or harm anyone;
  • post content you don’t have the rights to, or that is unlawful, hateful or sexually explicit;
  • access accounts, data or systems without permission, or probe, scrape or overload the Services; or
  • resell the Services or build a competing service from them without our written permission.

We may remove content or limit features that break these Terms or put people at risk.

15Other companies’ services

Center works with other companies’ services, such as payment processors, ad networks, calendars, email providers and the websites you ask Center to use. Their terms and privacy policies apply to your use of them, and we are not responsible for them. Connecting a service to Center gives Center only the access you approve, and you can remove it at any time.

16Not for emergencies

Center is not an emergency service and must not be relied on in an emergency. Call 911 or your local emergency number.

17Disclaimers

We provide the Services as they are and as available. To the extent the law allows, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we don’t promise that the Services will be uninterrupted or error-free, that AI output will be accurate, or that you’ll get any particular result, booking, sale or earnings. Some places don’t allow these disclaimers, so they may not apply to you.

18Limitation of liability

To the extent the law allows, Center is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and Center’s total liability for all claims relating to the Services is limited to the amounts you paid Center for the Services in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that the law does not allow to be limited, such as liability for fraud, or for death or personal injury caused by negligence.

19Responsibility for claims

If you use Center for a business, you will defend and indemnify Center against claims by others arising from your business’s services, content or messages to your customers, or from your breach of these Terms, except to the extent Center caused them.

20Suspension and closing an account

You can stop using Center at any time and close your account by contacting us. We may suspend or end your access if you break these Terms, if the law requires it, or to protect you, other users or Center; where we can, we tell you why first and give you a chance to fix the problem. When an account closes, fees already owed remain due, and the terms that by their nature should continue (such as fees, disclaimers, limitation of liability and disputes) continue.

21Disputes and governing law

If you have a concern, contact us first at help@center.com; most issues can be resolved quickly. You and Center agree to try to resolve a dispute informally for at least 30 days before starting a formal proceeding.

Nothing in this section limits rights you have under consumer protection laws that cannot be waived.

22Changes to these Terms

We may update these Terms, and changes apply only going forward. We post each update with its date and, for a material change, notify you by email or in Center at least 30 days before it takes effect, unless the change is required by law or concerns a new feature, in which case it applies when posted. If you keep using the Services after a change takes effect, the updated Terms apply; if you don’t agree, stop using the Services before then. A change never enrolls you in a new optional text or email program; that always needs your separate consent.

23General terms

You agree that we may provide agreements, notices and disclosures electronically, by email, text or in Center, and that electronic records and acceptances have the same effect as signed paper ones. These Terms, the documents they incorporate and any Order Form are the entire agreement about the Services. If a provision can’t be enforced, the rest still applies, and not enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them to an affiliate or to a successor to our business, with notice to you. Neither party is liable for delays caused by events beyond its reasonable control.
